Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of Fairy, including the Fairy mobile application, the website at tryfairy.com, the member portal, the Marketplace, the Discovery Assessment, Tables, Rooms, and Retreats, Workshops and Consulting, the Incubator, cooperative membership, the Fairy Fund, and any merchandise we sell (together, the "Services"). By creating an account, starting or maintaining a membership, booking a Table or retreat, registering for a program, applying to the Incubator or the Fairy Fund, purchasing merchandise, subscribing to updates, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. 1. About Fairy

Fairy is a member-owned cooperative ecosystem for people moving through transitions. It includes community Tables, Rooms, and Retreats, Workshops and Consulting, the Incubator, cooperative membership with the Fairy Fund, and a Marketplace connecting service providers with clients. These Terms apply to your use of all parts of Fairy, online and in person.

Within the Marketplace, Fairy connects independent service providers ("Providers") with people looking for trusted services ("Clients"). Fairy provides the platform and infrastructure. Services are provided by independent Providers, not by Fairy. Fairy is not an employer of any Provider and does not guarantee the quality, safety, suitability, or timeliness of any service listed on the platform.

2. Eligibility

To use Fairy you must be at least 18 years of age, a legal resident of a country where Fairy operates, and have the legal capacity to enter into a binding agreement. By registering, you confirm you meet these requirements. Membership and certain programs are offered to a limited cooperative community, are subject to capacity limits, and may be accepted, waitlisted, or declined at Fairy's discretion.

3. Accounts

You must create an account to access most of Fairy's Services. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity under your account. Notify us immediately at ruth@tryfairy.com if you suspect unauthorized access. Each person may maintain only one active account. You may delete your account at any time through the app settings.

4. The Discovery Assessment

The Fairy Discovery Assessment is offered free of charge and runs in your browser. It is provided for general information and personal reflection only. It is not a clinical, psychological, medical, financial, or career evaluation, it does not create any professional relationship, and we make no warranty as to its accuracy or fitness for any purpose. Its results do not guarantee any outcome.

5. Tables, Rooms, and Retreats

Tables, Rooms, and Retreats are community gatherings for rest, conversation, and connection. Seats are limited and registration is required. Cancellation, no-show, and rescheduling terms, where they apply, are shown at the time you reserve. These gatherings offer peer support and community and are not therapy, counseling, medical care, or professional advice. In-person events carry inherent risks; you attend voluntarily and assume those risks as described in Section 16. You agree to treat hosts, facilitators, and other participants with dignity and respect.

6. Workshops and Consulting

Workshops and Consulting help you figure out what you want to build. They always begin with a free conversation, with no obligation. Group consultations may be offered free of charge, and one-on-one sessions are limited and may be offered on a free or paid basis. Workshops and Consulting provide general guidance and education only. They are not professional, legal, financial, tax, medical, or mental-health advice, they create no professional or fiduciary relationship, and they do not guarantee any result.

7. The Incubator

The Incubator helps members take an idea from a spark to a launch alongside others. Admission is by application. Submitting an application is a right to apply, not a guaranteed seat. Seats are limited, and Fairy may accept, waitlist, or decline any application at its sole discretion. The Incubator supports your work, but it does not guarantee any business, creative, financial, or other outcome.

8. The Marketplace

All Providers must complete identity verification before their profile goes live. Providers are independent contractors, not employees of Fairy, and are responsible for accurate listings, delivering services professionally, honoring confirmed bookings, complying with applicable laws for their service type, and treating all Clients with dignity and respect. When you book a service as a Client, you agree to pay the full listed price. Cancellation policies are set by individual Providers and displayed on their profiles. Fairy is not a party to any agreement between a Provider and a Client and is not responsible for harm arising from those transactions. Soliciting or completing transactions outside the platform to circumvent fees is prohibited.

Bookings and cancellations. Both Clients and Providers may cancel a booking. Clients may cancel within the cancellation window shown at the time of booking; cancellations after that window may be subject to the Provider's stated policy. Providers may decline or cancel a booking, and Fairy will notify the affected Client. Where a confirmed booking is cancelled and the service is not delivered, any refund is handled through the app or by contacting the help center. Reminders are sent to Clients as a booking approaches.

Seller verification. All sellers complete identity verification before selling. Lower-risk listings require a general verification that includes a government-issued ID. Listings in higher-risk categories, such as fitness, food, transportation, in-home services, childcare, and similar, require additional verification, which may include a portfolio, credentials, or business documentation. Sellers may begin selling only after they are approved.

Referral program. Members may invite others using a referral code. When a referred person signs up and completes a first purchase of $20 or more, the referring member earns a referral reward issued as account credit. Referral rewards are capped at $50, are non-transferable, cannot be exchanged for cash, and expire twelve months after they are issued if unused. Fairy may change or end the referral program at any time.

Advertising. Sellers and external businesses may purchase advertising placements on Fairy. Ads appear in designated areas and may be shown based on a user's general location and preferences. Advertisers must follow Fairy's advertising guidelines, and Fairy may decline or remove any ad at its discretion.

9. Membership and Cooperative Participation

Fairy membership is a recurring monthly subscription billed through Stripe at the tier you select: Community ($30 per month), Builder ($50 per month), Fund Member ($100 per month), or Launch ($150 per month). Your membership renews automatically each month until you cancel. You may cancel at any time, and your membership stays active through the end of the billing period you have already paid for. Dues are generally non-refundable except where required by law.

Membership is participation in a cooperative. It is not the purchase of a product or service, and it is not a security, an investment, or a deposit. Co-ownership is earned over time through genuine participation, or patronage, in the cooperative, never through additional payment, and the specific structure of co-ownership is explained to members directly when they join. Fairy operates on a one member, one vote basis regardless of tier or amount contributed. Members are expected to participate in good faith, which includes patronizing the Marketplace, using the member portal, and taking part in the life of the community.

Membership is capacity-limited. In Year One, Community membership is capped at up to 200 members, Builder at up to 50, Fund Member at up to 100, and Launch at up to 50, with a target of approximately 400 members in total. Certain programs, including the formation classes and workshops, have limited capacity and may be reserved for specific membership tiers. Fairy may pause, waitlist, or close new memberships at any time once capacity is reached. Membership benefits, tiers, dues, and caps may change with at least 30 days notice.

10. The Fairy Fund

The Fairy Fund is a shared resource of the cooperative, funded by the portion of Fund Member and Launch dues that is directed to it. The Fairy Fund is not a bank, a savings club, a rotating savings or credit association, a security, or an investment, and it does not guarantee any payment, loan, grant, or return. No member is entitled to a refund or return of dues directed to the Fund, and dues directed to the Fund do not create a debtor and creditor relationship or an investor relationship.

Access to the Fund opens only after ninety (90) days of active, paid Fund Member or Launch membership in good standing, and remains contingent on continued active participation in the cooperative. The Fund offers support through application-based programs, which may include emergency and mutual aid, zero-interest member loans, and commissioned grants, each subject to its own eligibility rules, application process, dollar limits, per-period and per-program caps, available balance, and the discretion of Fairy and the cooperative. All disbursements are discretionary, are limited by the available balance and by the applicable caps, and may be reduced, paused, or declined at any time. Any member loan is a good-faith obligation to repay on the agreed terms. Fairy does not provide financial, lending, tax, or investment advice, and participation in the Fund is at your own discretion and risk.

11. Merchandise

Merchandise is sold through Stripe checkout. A flat shipping fee applies to each order, shown at checkout, and you may add available items to a single order. We ship to the address you provide and are not responsible for delays or losses caused by an incorrect or incomplete address. Title and risk of loss pass to you when we deliver your order to the carrier. We are not responsible for carrier delays or for items lost or damaged in transit beyond what the carrier's terms provide. Except where required by law, merchandise sales are final. If an item arrives defective or incorrect, contact us at ruth@tryfairy.com within 14 days and we will, at our discretion, replace it or issue a refund. After a purchase, you are directed to a confirmation page.

12. The Fairy App

We grant you a limited, personal, non-transferable, revocable license to use the Fairy app for its intended purpose. You agree not to misuse the app, interfere with its operation, reverse engineer it, or use it to violate any law or the rights of others. We may modify, suspend, or discontinue any feature at any time. The app and the Services are provided on an "as is" and "as available" basis, and we do not guarantee uninterrupted or error-free operation or any particular availability or uptime. Your use of the app obtained through the Apple App Store or Google Play is also subject to those platforms' terms.

13. Payments, Billing, and Taxes

All payments are processed through Stripe. By using Fairy, you agree to Stripe's terms at stripe.com/legal. For subscriptions, you authorize Fairy and Stripe to charge your payment method on a recurring basis until you cancel.

Marketplace seller fees. Fairy applies a transaction fee to each product or service sold through the Marketplace. The standard fee is 10% of the sale, deducted from the seller's earnings. Sellers may reduce this fee with an optional seller subscription: the Gold subscription ($15 per month) lowers the transaction fee to 8%, and the Diamond subscription ($20 per month) lowers it to 5%. Seller subscriptions also include added profile and analytics features, described in the app. Seller subscriptions renew monthly until cancelled. You may cancel at any time, and access continues through the end of the period you have already paid for.

Buyer service fees. To keep the Marketplace sustainable, a modest buyer service fee is built into the price shown to buyers at checkout, and it is never deducted from a seller's earnings. For products and non-hourly services priced at $20 or more, a $2 fee is added. For hourly services, a $1 fee per hour is added to the base hourly rate. For products and services under $20, a $1 fee is added. These fees cover payment processing and platform costs, are kept deliberately modest and proportionate to the cart, and may be adjusted in the future with notice.

Fee structures are displayed within the app and may change with 30 days advance notice. Providers are solely responsible for reporting and paying applicable taxes on income earned through the platform. Billing disputes must be submitted to ruth@tryfairy.com within 30 days of the transaction.

14. Community Guidelines and Code of Conduct

All users must follow Fairy's Community Guidelines. The following are strictly prohibited:

What members share in Tables, retreats, and cohorts is offered in confidence, and members agree to keep it confidential. Fairy reserves the right to remove any content, suspend or terminate any account, or remove any member from a program or gathering that violates these standards, at our sole discretion and without prior notice. Where removal is for cause, dues and fees already paid are not refundable.

15. No Professional Advice; No Guarantees

Fairy provides community, education, and general guidance. Nothing offered through the Services, including the Discovery Assessment, Workshops and Consulting, the Incubator, Tables, retreats, content, or interactions with hosts, advocates, mentors, or other members, is professional, legal, financial, tax, medical, psychological, or mental-health advice, and none of it creates a professional or fiduciary relationship. Fairy does not guarantee any outcome, including income, business success, employment, wellbeing, or results of any kind. You are responsible for your own decisions and for seeking qualified professional advice where appropriate.

16. Assumption of Risk and Release

You participate in Fairy's in-person and virtual gatherings, including Tables, Rooms, and Retreats, voluntarily and at your own risk. You understand that in-person participation, travel, and activities carry inherent risks. To the fullest extent permitted by law, you assume those risks and release Fairy, its founders, staff, hosts, advocates, and volunteers from any claim arising out of your participation, except for harm caused by gross negligence or willful misconduct.

17. Content and Intellectual Property

You retain ownership of content you post on Fairy. By posting, you grant Fairy a non-exclusive, royalty-free, worldwide license to display and promote that content in connection with operating and marketing the platform. The Fairy name, logo, app design, website, assessment, and written materials are owned by Fairy and may not be used without written permission.

18. Disclaimers and Limitation of Liability

Fairy provides its platform and Services on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Fairy is not a party to agreements between Clients and Providers and is not responsible for harm arising from those transactions. To the fullest extent permitted by law, Fairy's total liability for any claim arising out of or relating to the Services shall not exceed the greater of the total amount you paid Fairy in the 12 months preceding the claim or $100. Fairy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill.

You agree to indemnify, defend, and hold harmless Fairy, its founders, staff, hosts, advocates, and volunteers from and against any claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising from your use of the Services, your content, your interactions with other users, or your violation of these Terms or of any law.

19. Privacy

Your use of Fairy is governed by our Privacy Policy, incorporated into these Terms by reference and available at tryfairy.com.

20. Dispute Resolution and Governing Law

Before filing any formal claim, you agree to contact us at ruth@tryfairy.com to attempt informal resolution in good faith. These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules. Any legal action shall be brought exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction. To the extent permitted by law, you waive your right to participate in any class action against Fairy.

21. Changes to These Terms

We will notify you of material changes via email or in-app notice at least 30 days before they take effect. Continued use of Fairy after that date constitutes acceptance of the updated Terms.
